FOR PURCHASES VIA MOROCCANOIL’S ONLINE SHOP (July 2026)
Terms and
Conditions
The following terms form our General
Terms and Conditions (“T&Cs”)
which will govern your order from https://uk.moroccanoil.com
(the "Online Shop"):
1. SCOPE OF VALIDITY
1.1. The T&Cs apply to all contracts between
Moroccanoil UK Ltd (Company number: 07566458), whose registered office is at Handel House, 95 High
Street, Edgware, Middlesex, HA8 7DB (in the following “we” or “us” or "our" or “Moroccanoil”) and a consumer ("you" or “Customer”). Our VAT number is 375715667.
1.2.
The T&Cs apply to the purchase of products from our online shop https://uk.moroccanoil.com in the United
Kingdom (in the following "Online shop“). Our Online Shop and the associated T&Cs are
designed in accordance with the legal requirements of the United Kingdom.
1.3.
Before placing an
order on our Online Shop, please read these T&Cs carefully to ensure you
understand them. In no
circumstances do we accept any alternative contractual terms even in cases
where we do not expressly object to their inclusion.
1.4.
Products, and any
samples we may provide to you, are sold and/or provided on a retail
basis strictly for personal use. Products shall not be purchased for commercial
or professional purposes. Moroccanoil reserves the right, at its discretion, to
refuse any order for products that appears to be intended
for resale or commercial use (rather than
personal use). Specifically, we may
refuse orders that are placed in unusually large quantities and/or orders with
a destination address that is a warehouse or an entity engaged in selling or
reselling consumer goods.
1.5.
All text,
graphics, photographs, copyright, trademarks and any other intellectual
property rights available or displayed within this Online Shop (together "IP") are owned and shall
remain vested in Moroccanoil, our licensors and/or any member of Moroccanoil's corporate group (as
applicable). These rights are
protected under intellectual property laws throughout the world. Any unauthorized
use, reproduction or distribution of IP is strictly
prohibited and may result in legal action.
1.6.
By placing an
order through this Online Shop, you confirm that you are at
least eighteen (18) years of age and are legally entitled to enter into this contract. If you are under the age of eighteen (18),
your parent or legal
guardian must place the order on your behalf. We reserve the right
to cancel any order placed by individuals under the age of eighteen (18) or if
we determine that the order was placed without proper legal authority.
1.7.
Please note that
these T&Cs will only apply to purchases made through the
official Moroccanoil Online Shop (being https://uk.moroccanoil.com).
2. CONCLUSION OF
CONTRACT
2.1. We conclude contracts with you via our
Online Shop exclusively in the English language.
2.2. Each product on the Online Shop is sold
subject to its product description shown on the product page within the Online Shop. The product
description may set out specific conditions related to that product, including,
without limitation, terms concerning warranties, safety warnings, instructions
for use, and guarantees.
2.3. By placing, presenting and advertising
products on our Online Shop,
we are not making a binding offer to conclude a contract with regard to the
purchase of these products, but merely wish to invite you to submit an offer to
purchase such products.
2.4. By clicking the “Checkout” button and placing an order on our Online Shop, you accept these
T&Cs (in their current version as at the date of the order) and submit a legally
binding offer to purchase the selected products. You acknowledge and agree that the version of the
T&Cs you accepted will govern your order. We recommend that you save a copy
of such T&Cs for your records.
2.5. You can place an order to purchase products
by following the on-screen prompts after selecting the item you wish to
purchase. You will have the opportunity to check and amend your order up until
the point at which you place a binding order by clicking the “Checkout” button.
2.6. Immediately after you place your binding
order, you will receive an email from us in which we confirm the receipt of
your order. This email does not constitute acceptance of your order (or an offer to enter into a contract) and is provided
solely for your information. A binding contract between us will only be formed
once we send you a further email confirmation that
the products have been dispatched.
2.7. In some cases, we may not be able to accept
an order. For example, this might be due to a product being out of stock, an
error identified in the product price or
description, inability to obtain authorization for your payment, or you not meeting the
eligibility criteria to order.
2.8. Additionally, we reserve the right to reject
an order which we suspect is fraudulent or made for commercial or professional
purposes. We may also reject an order which we are prevented from fulfilling due
to circumstances beyond our control (force majeure), legal restrictions, technical
issues, or supply chain disruptions.
2.9. If we are unable to fulfil your order fully
or partially, we will contact you via email. In a limited
number of cases, we may reach out to you to offer the option to order a similar
product, where available.
2.10.
We may offer product samples free of charge with your order at our discretion.
2.11.
All product
images shown on the Online Shop are provided in good faith. While we strive
for accuracy, actual products may vary slightly from the images provided. This
does not affect your statutory rights under the Consumer Rights Act 2015. Although the packaging of the product may vary
slightly from that shown in images on our Online Shop, this will not affect the
quality or functionality of the product and the product will meet the
description provided.
3. PRICES, SHIPPING
COSTS AND PAYMENT
3.1. Prices and
Shipping Costs
3.1.1.
The prices shown on the product pages within the Online Shop at the time of
your order are binding with respect to the ordered goods. The prices are displayed in British
Pounds (GBP) and include value added tax. We do not offer discounts on the prices displayed.
3.1.2.
Our prices stated on the product pages within the Online Shop do not include
shipping costs. If shipping costs apply, you will be able to view information
regarding the applicable shipping costs and the manner in which they are
calculated via a link on the product pages and/or otherwise on the relevant
product page (and the value of the shipping costs will be displayed before you place a binding order). Shipping costs are calculated in
accordance with our Delivery Information and based on delivery
to an address within the Delivery Area. The final applicable shipping costs for
your order will be displayed during the checkout process before you place a
binding order.
3.1.3.
If we fulfil your order by
partial delivery in accordance with section 4.5, you will only pay shipping costs
for the first partial delivery. If you expressly request partial deliveries, you will pay shipping costs
for each partial delivery.
3.1.4.
The total price payable by you will be the price indicated on
the page featuring the “Checkout” button.
3.1.5.
We may offer promotions, discounts, voucher codes,
complimentary samples, gifts or other special offers from time to time. Such
offers may be subject to additional terms communicated at the time of the
offer. Unless expressly stated otherwise, all promotions, discounts, voucher
codes, complimentary samples, gifts and special offers are subject to product
and stock availability. We reserve the right to modify, suspend or withdraw any
such offer at any time, subject to applicable law.
3.1.6.
Payment for the ordered goods is due after conclusion of the
contract (i.e. once the products have been dispatched). However,
depending on the payment method selected by you, authorization,
pre-authorization and/or charging may occur at different times, including
before dispatch of the products. The applicable payment flow will be
communicated during the checkout process or by the relevant service provider.
We may add, remove, or modify the payment methods available on the Online Shop
from time to time.
3.2. Payment
3.2.1.
Refunds will be made to the same method of payment used for
the original transaction. Subject to section 9, refunds can only be
issued to the original account or card used, and cannot be processed to a
different payment method or in cash.
3.2.2.
You can pay for products ordered in our Online Shop using the following
methods of payment:
A. Credit Card
If you choose to purchase products using a credit card, you
must provide us with the requested credit card information (such as
cardholder name, card number, expiry date and verification
number) when you place your order. Your credit card will be
charged in accordance with the payment process applicable to your selected
payment method and as communicated during the checkout process.
B. PayPal

If you choose to purchase products via PayPal, you
will be redirected to the PayPal website during the order process. To pay
via PayPal, you must be registered with PayPal, validate your access data and
confirm the payment instructions. After you submit the order in the
Online Shop, we notify PayPal to initiate the payment transaction. The
payment transaction will be carried out automatically by PayPal immediately
afterwards. You will receive further instructions during the order process.

PayPal payment is possible for one-time orders.
C. Shop Pay

If you choose to purchase products using Shop Pay,
you will need to follow the instructions provided during the checkout process.
Shop Pay is a secure and convenient payment method offered by Shopify that
allows you to store your payment and shipping information for faster checkout.
By selecting Shop Pay, you agree to the following terms:
i.
When you choose Shop Pay, you will be redirected to
the Shop Pay checkout page to authenticate and complete the payment.
ii.
You must have an active Shop Pay account linked to a
valid payment method to use this payment option, or you can create a new account during the
checkout process.
iii. After you have
authenticated the payment on Shop Pay, the provider of the Shop Pay service
will charge your linked payment method in accordance with the applicable Shop Pay terms and
payment process.
iv. Shop Pay gathers,
processes and uses your personal data in accordance with their privacy policy.

Please be advised that any purchases made through Shop
Pay are subject to any terms and conditions presented to you by Shopify.
D. Google Pay
·
If you choose to purchase products using Google
Pay, you will need to follow the instructions provided during the checkout
process. Google Pay is a secure payment method that allows you to make payments
using your Google account. By selecting Google Pay, you agree to the following
terms:
i.
When you choose
Google Pay, you will be redirected to the Google Pay website or app to
authenticate and complete the payment.
ii. You must have an active Google Pay account
linked to a valid payment method to use this payment option.
iii. After you have authenticated the payment on
Google Pay, the provider of the Google Pay service will charge your linked
payment method in accordance with the applicable Google Pay terms and payment process.
iv. Google Pay gathers, processes and uses your
personal data in accordance with their privacy policy.

that any purchases made through Google Pay are subject to any terms and conditions presented to you by Google Pay.
E. Klarna and other local payment methods
·
The Online Shop may also offer other payment options
such as Klarna, Sofort, iDEAL, Bancontact, or other region-specific methods.
These payment options are made
available through our payment service providers (e.g., Shopify Payments
or third-party providers), and their availability may vary depending on your
location and the currency used.

If you choose to
pay using one of these methods, you will be redirected to the relevant
provider’s website or platform to complete the payment.

Please be advised
that any such purchase will be subject to any terms and conditions presented to you by the relevant provider.
4. DELIVERY
CONDITIONS
4.1.We will only accept your order for products
on the Online Shop if the delivery address is within the Delivery Area. Orders placed for delivery
to addresses outside of the Delivery Area will not be processed. “Delivery
Area” refers to the geographical regions within the United Kingdom where we offer delivery services for purchases made
through our Online Shop.
4.2.Individuals from other countries are welcome to place orders through
this Online Shop; however, delivery will only be available to addresses within
the Delivery Area. If you are accessing our Online Shop from outside the
Delivery Area, we recommend that you visit the Moroccanoil online shop specific
to your country or region, or your closest authorized Moroccanoil reseller.
4.3.Further information regarding delivery,
shipping methods and related policies is available in our Delivery Information.
Any delivery timeframes communicated by us, are estimates only and are not
guaranteed. Dispatch and delivery may take longer during periods of increased
demand, holidays, promotional campaigns, peak seasons, or due to circumstances
outside our reasonable control.
4.4.Upon dispatch of your order, you will
receive an email confirmation containing the following details:

Tracking Number: Which allows you to
track the status and location of your package on the shipping service provider company's website.
- Shipping Service Provider Company Name: Information
about the shipping service provider company handling your delivery.
4.5.We may also fulfil an order in partial
deliveries insofar as this is agreed or requested by you. Shipping costs applicable to partial deliveries will be calculated in
accordance with section 3.1.3, and you will be informed
of any additional delivery costs before we proceed with a partial delivery.
4.6.Delivery is usually
performed by a shipping company commissioned by us (but in some cases may be
performed by other third parties).
4.7.Unfortunately, it is not possible for you
to collect the ordered goods yourself.
4.8.Delivery will be made to the address
specified in your order or to a pickup point near you. If no one is available
at the address at the time of delivery, the products will either be (i) retained by
the shipping service provider company for a reasonable period of time (ii) returned to us by the shipping service provider company or (iii) left in your
designated “safe place” (if you selected
this option).
4.9.If you choose to have your order delivered
to a safe place, please select from one of the chosen safe places on the list
and ensure that the safe place you choose is protected from the elements and is
guarded from public view to avoid damage and theft. We can't guarantee
that our shipping service providers will always be able to leave the products in your designated safe place, although we will endeavour to accommodate
your request. You acknowledge that (if you instructed us to deliver the package to a safe place) you are fully
responsible for any order left in your chosen safe place starting from the point the order is delivered to the
safe place, and if after this point your package is lost, stolen or damaged we
will not be liable to you (and we will not offer replacement products or refund).
4.10.
All risk in the
products you order (including risk of loss and/or damage to the products) shall
pass to you upon delivery to you (and a product will be deemed delivered if it is left in a designated
safe place on your instruction).
4.11.
Upon receipt of
your order, please inspect the package and its contents
for any inconsistencies with your order and/or damage that may have occurred
during delivery. It is normal for the
shipping packaging to show some
wear, however if damage occurred to the products in your shipment, please
retain the shipping packaging, the packing
materials and the products inside and contact customer service specifying the
affected products and the nature of the damage and/or inconsistency. Please
note that this does not affect your statutory rights under section 6.
4.12.
You should notify us
within a reasonable time of becoming aware of any issue relating to
non-delivery, missing items, damage or discrepancies in your order, so that we
may investigate the matter with the relevant shipping provider or other
relevant parties. Nothing in this section affects your statutory rights.
5. RETENTION OF
TITLE
The goods remain
our property until the purchase price has been paid in full by you to us.
6.1.1.
We shall be liable for any defects in the delivered
products which we are liable for under applicable laws. Goods that we
provide to you will be as described, fit for purpose and of satisfactory
quality. During the expected lifespan of
your product your legal rights entitle you to the following with respect to
defective goods:
a)
Up to 30 days from the day after the product is delivered: an immediate
refund (or repair or replacement of the goods, if preferable to you).
b) Up to six months from the date you
receive the product: repair or replacement of the goods and (if your goods can't be
repaired or replaced) a full refund in most cases.
c)
Up to six years from the date you receive the product: repair or replacement
of the goods and (if your goods can't be repaired or replaced) a refund (which will
be reduced to reflect your use of the goods, if applicable).
6.2.1. Any seller's guarantees given by us, or a manufacturer's
guarantee granted by a product manufacturer, for certain products shall be
available to you in addition to your rights under section 6.1.1. Details of the scope
of such guarantees are set out in the relevant guarantee conditions communicated
to you.
6.2.2.
You are only entitled to additional rights arising
from a quality and/or durability guarantee (over and above your normal
statutory rights) if we have (or the relevant manufacturer has) expressly issued such a
guarantee for the respective goods.
6.2.3.
Information on any seller's guarantees given by us (including the terms and
conditions applicable to such guarantees) can be found in the
Online Shop on the relevant product page. We will also send you details of the guarantee in
a separate email after your order.
7. LIABILITY
7.1. If we fail to comply with these T&Cs, we are responsible
for loss or damage you suffer that is a foreseeable result of our breaking these T&Cs or our failing to use reasonable care and
skill. However, we are not responsible for any loss or damage that is not
foreseeable (i.e. it was not obvious that it would happen and nothing you said to
us before we accepted your order meant we should have expected it).
7.2. We only supply the products via this Online
Shop for domestic and private use in accordance with section 1.4 of these T&Cs. If you use the
products for any commercial, business or re-sale purpose we will have no
liability to you for any loss of profit, loss of business, business
interruption, or loss of business opportunity.
7.3. We are not liable for any loss or damage
caused solely by your own
actions or omissions.
7.4. We will not be liable to you for any losses unavoidably and wholly caused by any event that is beyond
our control, including acts of God, explosions, floods, tempests, fires, or
accidents; wars or threats of war, sabotage, insurrection, civil disturbance,
or requisition; acts, restrictions, regulations bye-laws, prohibitions, or
measures of any kind on the part of any governmental, parliamentary, or local
authority; import or export regulations or embargoes; strikes, lock-outs or
other industrial actions or trade disputes (excluding such strikes etc by our own staff). We will take reasonable
steps to prevent or minimise a delay caused by such an event. We will not be
liable for delays caused by such an event, but if there is a risk of
substantial delay, you may contact us to end the contract and receive a full refund for any products
for which you have paid but have not received.
8. RIGHT OF
WITHDRAWAL, RETURNS AND REFUNDS
8.1.You have the right to withdraw from this
contract without giving any reason. This right will expire
after 14 days from the day on which you acquire, or a third party nominated by
you acquires, physical possession of the goods.
8.2.To exercise the right of withdrawal, you must inform us of your decision to withdraw from this contract by an
unequivocal statement (e.g. by sending an email to contactus@moroccanoil.com,
or sending a notification by post to Moroccanoil UK Ltd, Handel
House, 95 High Street, Edgware, Middlesex, HA8 7DB UK), or by submitting the online cancellation form available here. You may also use the model withdrawal form set out in section 8.11, but it is not obligatory.
8.3.To meet the withdrawal deadline, it is
sufficient for you to send your communication of your intention to withdraw from the contract before the
withdrawal period has expired.
8.4.If you are eligible to withdraw from this
contract in accordance with the terms stipulated in this section 8, we shall
reimburse to you all payments received from you including the costs of standard
delivery (i.e. we don't refund any extra you have paid for express delivery or
delivery at a particular time). We will refund you without undue delay
and in any event not later than 14 days from date the goods are returned to our physical possession or you have supplied evidence
of having sent back the goods (whichever is the earliest). We will issue the
refund to the payment method used for the
initial transaction, unless we both expressly agreed
otherwise. You will not incur
any fees as a result of such reimbursement.
8.5.If you choose to withdraw from the
contract, you must send back the
goods to us without undue delay and in any event not later than 14 days from
the day on which you communicate your withdrawal from this contract to us. The
deadline is met if you send back the goods before the period of 14 days has
expired.
8.6.Please note that
all physical mail and returns related to purchases from the Online Shop must be
directed to our designated returns processing centre at Moroccanoil UK Ltd,
Handel House, 95 High Street, Edgware, Middlesex, HA8 7DB, UK.
8.7.You are liable for the cost of
returning the goods. You only have to
pay for any loss of value of the goods if this loss of value is due to your handling or use of the goods in a way which is more than is necessary to check the goods' quality, properties and functioning (and,
depending on the nature of the goods, you might completely lose your right to any
remedy if you use the goods in a way which is more than is necessary to check the goods' quality, properties and functioning).
8.8.Where goods were supplied together with a
complimentary gift, free sample, or other promotional item that was provided
subject to the purchase of those goods, such item must also be returned if you
exercise your right of withdrawal in respect of the qualifying purchase. If you
choose to retain such complimentary gift, free sample, or promotional item, we
may reduce the amount of the refund by the retail value of the retained item.
8.9.If the products are faulty or misdescribed,
we will be liable for the return
shipping costs.
8.10.
The right of
withdrawal does not exist with respect to: (i) goods which are
bespoke or tailored to your personal needs; (ii) goods that are likely to deteriorate or expire quickly; (iii) goods that are
not suitable for return for reasons of health protection or hygiene, if their
seal has been removed after delivery; or (iv) goods which have been inseparably mixed with other goods after
delivery due to their nature.
8.11.
If you wish to
exercise your right of withdrawal, you can use this form to express your intention to withdraw:

9.1.In addition to your statutory right of withdrawal (see section 8), your statutory
rights in case of defects (see section 6.1) and the voluntary warranty applicable to some of our products
(see section 6.2), if you choose to
cancel your contract with us within 30 days from the date on which either you
or a third party nominated by you takes possession of
the ordered goods, we will grant you a refund of the purchase price in the form
of a voucher which can be used on the Online Shop.
9.2.To claim such a voucher, please contact
us by email at contactus@moroccanoil.com. In order for us
to process your request, you must provide to us (via email) your order number (which you
received from us by email after submitting your order) as well as your
contact details.
9.3.Upon receipt of a valid request to issue such a voucher, we will issue you
with a gift card for use on the Online Shop for the amount of the
purchase price minus VAT.
10. DATA PROTECTION
The protection of your
personal data is very important to us. We process your personal data provided to us in connection with your order in accordance
with applicable laws (in particular the
UK General Data Protection Regulation (UK GDPR) and the Data Protection Act
2018). Details of how we
handle your personal data can be found in
the Privacy Policy available
on our website.
11. COOKIES
We use cookies,
pixels and similar technologies to improve your experience on our Online Shop, to analyse site traffic, and to
personalize content. Where required by applicable law, we will obtain your
consent before placing or using non-essential cookies, pixels and similar
technologies. By clicking ‘Accept All Cookies’, when prompted upon visiting our
Online Shop you consent to our use of cookies, pixels and similar technologies.
You can change your cookie settings or withdraw your consent at any time. Further information regarding our use of cookies,
pixels and similar technologies is available in our Privacy Policy.
12. CUSTOMER SERVICE
12.1.
You can reach our
customer service team to raise questions,
complaints and objections by: (i) emailing contactus@moroccanoil.com; or (ii) writing to us at Moroccanoil UK Ltd,
Handel House, 95 High Street, Edgware, Middlesex, HA8 7DB, UK.
12.2.
If you are contacting us in relation to a specific order, please
provide details of your order
to help us identify it (including your
order reference number). If we need to
contact you or give you notice in writing, we will do so by email to the
address you provided when you placed your order.
12.3.
We may also
operate a customer loyalty or rewards program in connection with this Online
Shop. Participation in any such program is entirely optional and is governed by
the Loyalty Program Terms
and Conditions. Participation in
the loyalty program is subject to your compliance with the Loyalty Program Terms and Conditions, in addition to these
T&Cs where relevant.
13. PRODUCT REVIEWS
13.1.
The Online Shop
may allow customers to submit product reviews, ratings, comments and other
feedback relating to products purchased from or offered through the Online Shop
("Reviews"). Reviews must reflect the reviewer's genuine
experience with the relevant product and must not contain false, misleading,
unlawful, defamatory, abusive, offensive, discriminatory, fraudulent or
deceptive content, advertising, promotional material, content unrelated to the
product, content that infringes the rights of any third party, or personal or
sensitive information.
13.2.
We may take reasonable steps to verify
whether Reviews originate from consumers who have purchased or used the
relevant product. Any indication that a Review is a "Verified
Purchase" or similar designation means that we have applied a verification
process based on information available to us at the time.
13.3.
We reserve the right to review, moderate,
refuse, remove, suppress, suspend or otherwise restrict the publication of
Reviews that do not comply with these T&Cs, applicable law, our review
policies, or which we reasonably believe to be false, misleading, fraudulent,
generated through automated means, submitted in bad faith, or otherwise
inappropriate for publication.
13.4.
We will not refuse to publish, remove or
suppress a Review solely because it expresses a negative opinion about
Moroccanoil or its products, provided that the Review otherwise complies with
these T&Cs and applicable law.
13.5.
We may make technical, formatting or
administrative changes to Reviews, including correcting formatting issues,
translating Reviews, removing personal information, removing unlawful content,
or adapting Reviews for display across different platforms, provided that such
changes do not materially alter the overall meaning of the Review.
13.6.
Reviews may be displayed, ranked,
filtered or organized according to various criteria, including date of
submission, rating, relevance, popularity, product category, verification
status or other factors determined by us from time to time.
13.7.
By submitting a Review, you grant
Moroccanoil a non-exclusive, worldwide, royalty-free, perpetual, transferable
and sublicensable license to use, reproduce, publish, display, distribute,
adapt, translate and otherwise exploit the Review and any content submitted
with it for the purposes of operating, promoting and marketing Moroccanoil, its
products, websites, social media channels and business activities.
13.8.
You should not include personal data,
health information, contact details or other information that you do not wish
to be publicly available within a Review. Where Reviews contain such
information, we may remove, redact or refuse to publish the Review.
13.9.
Reviews must not be submitted in exchange
for compensation, discounts, free products, rewards, incentives or other
benefits unless such arrangement is clearly disclosed where required by
applicable law.
14. MISCELLANEOUS
14.1.
Choice of Applicable Law
14.1.1. These T&Cs shall be governed by English law, regardless of whether you order from within the United
Kingdom or a country other than the United Kingdom.
14.1.2. If the law of the country in which you have your
habitual residence grants mandatory consumer protection rights that apply to
you and are more favourable than the rights given to you under English law, such consumer
protection rights that are more favourable to you shall remain applicable.
14.1.3. Wherever you live you can bring claims against us in
the English courts. If you live in Wales, Scotland or Northern Ireland, you can
also bring claims against us in the courts of the country you live in. We can
claim against you in the courts of the country you live in.
14.2.
Severability Clause
Should one or
more provisions of these T&Cs be or become illegal, invalid or unenforceable in whole or in part, this shall not affect
the validity of the remaining provisions which shall remain in full force and effect.
14.3.
Reservation of Right to Amend
14.3.1. We may update or amend
these T&Cs from time to time, for example, to reflect changes in the law or
to meet our changing business requirements, and reserve the right to do so at
any time.
14.3.2. The updated version of the T&Cs shall take effect
when posted on the Online Shop. We recommend that every time you order products from the
Online Shop that you check these T&Cs to ensure you understand the terms
which will apply at that time.
14.3.3. Any revisions to these
T&Cs will not impact existing orders, which will remain governed by the
version of the T&Cs in place when the order was submitted.
14.3.4. These T&Cs
supersede any other terms and conditions previously published by us.
14.3.5. We can always change the products we offer to reflect
changes in our business priorities, changes in relevant laws and regulatory
requirements, or to make minor technical adjustments and improvements.
14.4.
General terms
14.4.1. We may assign, transfer
or sub-contract any of our rights or obligations under these T&Cs to any
third party at our discretion; we'll tell you in writing if this happens and we'll ensure that the
transfer won't affect your rights under the contract.
14.4.2. No delay by us in
exercising any right or remedy under these T&Cs shall operate as waiver of
that right or remedy nor shall affect our ability to subsequently exercise
that right or remedy. Any waiver of these T&Cs must be agreed by us in writing.
14.4.3. Nothing in these
T&Cs shall limit, exclude or affect any rights or remedies that cannot be
excluded or limited under applicable law. In the event of any conflict between
these T&Cs and applicable law, the applicable law shall prevail to the
extent of such conflict.
14.4.4. Only you and we shall
be entitled to enforce these T&Cs. No third party shall be entitled to any rights under these T&Cs,
whether by virtue of the Contracts (Rights of Third Parties) Act 1999 or
otherwise.
